Sell Side M&A
We work with both leading SME's and larger Corporate clients, their management teams and shareholders to manage the sales process from inception to completion.
For an owner manager or entrepreneur, selling a business is often a once in a lifetime event and we understand there is an emotional element of disposing of a business that often represents a lifetime's work.
For larger corporates, disposals of non core divisions or assets, may not entail the same emotion. However such transactions are often complex, resource intensive and can be a distraction from focusing on core business activities. We do the heavy lifting throughout, enabling our clients to continue to focus on the day to day.
There is no one size fits all approach to a sell side mandate. We work with each client to develop the investment thesis and tailor a specific plan that will maximise the value of that particular business.
At the outset we will give you an honest assessment on valuation and whether the business is sales ready. At times we might work with our clients over a prolonged period to allow them to implement changes that might significantly enhance value.
We work with business owners to maximise the value of their business, through an appropriately managed sales strategy, identifying potential acquirors who are the most suitable strategic fit.
Regardless of the transaction type, we work alongside our clients from start to finish as an extension of their own team. Our approach is truly Director led throughout the process, from initial research, designing and executing the agreed sales strategy, leading all of the commercial negotiations through to project managing our client's legal advisors to completion.
Our strategy is designed to maximise the outcomes for the sellers by anticipating potential deal issues and offering solutions, dealing with human emotions and maintaining optionality for the longest possible period.
Buy Side M&A
We support both SME customers and larger corporate clients on the development of their acquisition strategies and in identifying and executing buy side acquisitions. These engagements often include a debt or equity advisory element to ensure our clients have access to the most attractive funding options.
We guide our clients through the process, from making discreet initial approaches on their behalf, facilitating introductory discussions, structuring of an appropriate Offer and negotiating the Heads of Terms.
As lead advisor we then coordinate the Due Diligence process and support our clients legal advisors on the commercial terms within the Share Purchase Agreement. We drive the process from the outset to completion in an efficient manner.
Our experience across the London, Belfast and Dublin markets makes us uniquely positioned to support private equity buyers in acquiring new platform or bolt on investments in these markets, We leverage our relationships on the ground in these geographies to increase the chances of successful execution.
MBOs
Executed correctly MBO's can be an excellent way to transition a business from current owners to the incumbent management team.
We have the expertise to guide ambitious management teams through the specific challenges that need to be managed in executing a successful MBO, focusing on the differing stakeholder expectations and requirements.
We have significant experience in both bank backed and private equity backed management buyouts. We have the network and relationships to get you in front of investors and lenders that understand and have appetite to support MBO transactions.
Whilst MBO's can take longer to deliver than other transactions we understand what is required and will work with you to develop an executable plan. We are experienced in negotiating with funders to ensure competitive pricing and can assist in developing the financial models and business plan materials that will be required.
We work to maximise the management team's economics whilst structuring a good deal for all stakeholders that will allow the business to prosper.
Capital Raising (Equity & Debt)
An efficient capital structure is crucial for any successful business. Understanding your capital needs, the optimal balance of debt and equity, and the right partners to provide it, are core strengths of our team.
There is more than one route to raise the capital your company requires - it is important to find the best fit for you and your shareholders. We work closely with you to identify which fundraising approach will work best for your company and your timeframe.
We will assist you in developing the Business Plan and Financial Forecasts that prospective investors or lenders will require.
Equity Raise
Where a company is considering private equity investment it is typically a 3-5 year partnership, so there are factors to be considered beyond the commercial terms. Personal relationships and chemistry is key. We have long-standing relationships with a wide array of investor type (Venture Capital, Growth Capital, Private Equity or individual private investors) and will seek to introduce you to the most appropriate party who will be a good long-term fit and who has a shared vision for the ongoing development of the business.
Debt Advisory
We advise companies raising debt to support acquisitions and MBOs, fund growth, or to refinance existing debt. We have long standing close relationships with mainstream banks, challenger banks and debt funds. Our individual team members have previous experience as Lenders within both mainstream and specialist finance teams. This means we thoroughly understand every stage of the credit process and the information that will be required for approval and advancement of funds. We will guide you through the entire process, from the development of a robust business plan, consideration and selection of an appropriate debt structure (Senior, Mezzanine, Unitranche and ABL products), introducing you to potential lenders, negotiating the best terms on your behalf. We will remain involved through the legal and documentation phase of the process until funding is available for drawdown.
